End User License Agreement (EULA) for Callum Donaldson Audio
This End User License Agreement (the “Agreement”) is made between you (the “Licensee”) and Callum Donaldson Audio/Decal Audio (“Licensor”). By purchasing sound libraries from www.callumdonaldsonaudio.com (the “Sound Libraries”), you agree to the terms outlined in this document.
1. License Grant
Upon payment, the Licensor grants the Licensee a worldwide, non-exclusive, perpetual, royalty-free license to use the Sounds included in the Sound Libraries as specified in this Agreement. The number of licenses acquired will be detailed on the invoice received after purchase.
2. Authorized Use
The Licensee is permitted to:

a. Install and use the Sound Libraries on a number of workstations corresponding to the purchased licenses. The Licensee may also create backup copies for personal use.

b. Integrate and publicly perform the Sounds as part of other media projects, including but not limited to television and radio broadcasts, films, websites, podcasts, mobile applications, advertising, multimedia presentations, and video games.
3. Prohibited Uses
The Licensee shall not:

Distribute or publicly perform the Sounds independently of other media projects, such as in toys, product designs, greeting cards, ringtones, soundboards, hardware, or media authoring tools.

Alter, modify, or repackage the Sounds, except as permitted under Clause 2.b.

Use the licensed audio files or any derivative content in the following manners:

In any sound library or collection (e.g., sample instruments, sound effects libraries).

As pre-installed sounds in physical devices or toys.

For the purpose of training or developing any Neural Networks, Artificial Intelligence, or Machine Learning models.

In products where sound effects dominate, defined as comprising over 50% of the total audio duration without accompanying elements like voice or music.

For any intended use that may conflict with these restrictions, please reach out to discuss the possibility of obtaining a custom license.
4. Ownership Rights
All rights related to the Sound Libraries and Sounds remain with the Licensor. The Licensee acknowledges that they do not own or claim authorship of the Sounds or the Sound Libraries.
5. Termination Clause
The Licensee’s rights under this Agreement will automatically cease in the event of any violation of its terms. Upon termination, the Licensee is required to delete or dispose of all copies of the Sound Libraries in their possession.
6. Indemnification
The Licensee agrees to indemnify the Licensor against any claims, damages, or costs arising from any breach of this Agreement.
7. Limitation of Liability
The Licensor shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or business interruptions, resulting from the use of the Sounds.
8. Transfer of Rights
The Licensee may not transfer, sublicense, or assign the Sounds to any third party, except as permitted in Clause 2.b.
9. Governing Law
This Agreement is governed by the laws of the United Kingdom.
